Provides legal advice and services to ADNOC and, to the extent relevant, its subsidiaries/affiliates on existing operations and new projects/transactions, both domestically and internationally, with a particular focus on the Downstream Directorate. Ensures conformity with laws and regulations, drafts/reviews/amends legal opinions/agreements/documents and provides advice on safeguarding ADNOC s interests.
Provides legal counsel and advice to the Downstream Directorate on operational, commercial, corporate and transactional matters as and when required/assigned, including joint ventures, investments, mergers, acquisitions, incorporations, dissolutions and liquidations.
Drafts, reviews, interprets and amends legal opinions, agreements, letters, memos, submissions and any other relevant documents related to the business, projects or transactions of the Downstream Directorate.
Assists in review of claims in connection with the Downstream Directorate s business activities including through interpretation and advice on performance of signed contracts and prevailing legislation.
Assists the Associate General Counsel in oversight of the legal functions of the Downstream Directorate group companies, particularly in development and implementation of common legal practices and joint strategies.
Provides functional guidance, as required, to assigned personnel within the Legal Division on complex issues. Support and encourage lesser experience legal personnel including identifying training and development needs and organizing, in coordination with Training & Development Division in Human Capital Directorate, courses, seminars and orientation programs for legal and lay staff.
Attends internal ADNOC committees, as and when required, to assist the activities of the Downstream Directorate and to advice on legal risks, including conformity with laws and regulations.
Manages external legal counsel services, including review of external legal counsel work product, preparation of request for proposals and instructing external legal counsel.
Coordinates with Corporate Governance Department on corporate governance matters related to Downstream Directorate group companies.
Coordinates with Compliance Department on compliance matters related to the Downstream Directorate and Downstream Directorate group companies.
Assists the Associate General Counsel in recruitment of lawyers for the Downstream legal team including reviewing, vetting, interviewing, and screening candidates.
Performs other similar duties as assigned by the Downstream Associate General Counsel.
Plan, supervise and coordinate all activities in the assigned area to meet functional objectives.
Train and develop the assigned staff on relevant skills to enable them to become proficient on the job and deliver the respective function objectives.
Provide input for preparation of Group Legal Affair s budgets and assist in the implementation of the approved Budget and work plans to deliver objectives.
Investigate and highlight any significant variances to support effective performance and cost control.

Implement approved Group Legal Affairs policies, processes, systems, standards and procedures in order to support execution of the work programs in line with Company and International standards.
Contribute to the achievement of the approved Performance Objectives for Group Legal Affairs in line with the Company performance framework.
Innovation and Continuous Improvement
Design and implement new tools and techniques to improve the quality and efficiency of operational processes.
Identify improvements in internal processes against best practices in pursuit of greater efficiency in line with ISO standards in order to define intelligent solutions for issues confronting the function.
Health, Safety, Environment (HSE) and Sustainability
Comply with relevant HSE policies, procedures & controls, applicable legislation and sustainability guidelines in line with international standards, best practices and ADNOC Code of Practices.
Provide inputs to prepare Section MIS and progress reports for Company Management.
COMMUNICATIONS & WORKING RELATIONSHIPS:
Regular contacts throughout ADNOC and subsidiaries/affiliates for collecting/verifying information, finalizing recommendations and provision of professional advice and to ensure client satisfaction with Group Legal Affair s services.
Frequent contacts with legal advisors throughout ADNOC Group of Companies up to Director level and with external legal advisors to exchange information and views on legal issues, disputes and problems and defend ADNOC s legal positions.
Frequent contacts with outside consultants to carry out jobs related to contracts in which ADNOC is a party.
QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS:
Bachelor Degree in Law from a reputable university
Minimum Experience & Knowledge & Skills
Years of post-qualification experience do not take into account additional years spent working as a trainee lawyer prior to formal qualification
Minimum 4 years of Post Qualification experience in transactional work in a reputable international law firm and/or in-house legal department, preferably within the oil and gas industry.
