- Design the legal and tax structure of the FCPRs, according to the Management Regulations, the investment policy and any sub-funds.
- Drafting and reviewing all legal documentation (Management Regulations) with legal counsel and the regulator.
- Custodian agreement where applicable, and any other documentation required by applicable regulations.
- Managing relations with the regulator in the context of FCPR management
- Approaching and initiating the necessary actions with the custodian and external stakeholders (auditor and external appraiser)
- Development and implementation of suitable and efficient financial models in collaboration with the Investment Management Department (Valuation Methodology, IRR, WACC) and design of a contractual mechanism for allocating financial flows and projects (Waterfall) for each FCPR
- Analysis of the tax impact and return for investors and the fund
- Recruitment, training and support of teams
- Implementation of a career and training plan
- Provision of teams for various public outreach and training activities (universities, project leaders, investors, etc.)
- Ensure rigorous monitoring of projects and investment operations, by producing regular reports for the General Management.
- Develop analytical notes and summaries to ensure good visibility on the performance of activities.
- Also contribute to the continuous improvement of management tools, working methods and internal procedures
- Ensure compliance with applicable regulatory frameworks, particularly in financial, banking and OPCR-related matters.
- Ensure that operations comply with Algerian COSOB regulations for venture capital funds
- Anticipate regulatory changes and provide technical support to the Investment Management Department in the interpretation and application of current regulations.
- Apply compliance standards (KYC, AML/CFT)
- Supporting the Investment Management team in its strategic thinking by providing technical expertise in financial engineering and structuring.
- Participate in analytical work, internal committees and decision-making processes, providing reasoned recommendations tailored to the challenges facing the ASF
- Investment advice:
- Delegated service: Risk and portfolio management
- General: Creation of SCI, SICAR
الملف الشخصي المطلوب للمرشحين
- Master's degree (Bac +5) in finance, economics, management or equivalent
- Fluency in Arabic and French (reading, writing, speaking). Preferably, language skills in English.
- Specialized training in financial engineering is highly desirable (specialized Master's degree, MBA).
- Minimum 8 to 10 years of experience in:
- Bank
- Investment Fund
- Financial advice
- public or international institution
- Proven experience in structuring complex projects
- Good understanding of PPPs and international financing
- Solid knowledge of Algerian regulations
- Leadership and sense of responsibility
- Strategic thinking and ability to anticipate
- Excellent analytical and synthesis skills
- Excellent interpersonal skills and strong negotiation abilities
- Rigour and a sense of ethics
