Legal Manager

Client of James Douglas Middle East

They are looking to hire a Legal Manager who will lead all legal, regulatory, and compliance matters across the companys operations and trading activities. The role focuses on contract management, regulatory compliance, risk mitigation, dispute management, and providing strategic legal guidance in multiple jurisdictions.

Duties & Responsibilities

• Commercial Contracts & Transactions

• Draft, review, negotiate, and manage commercial contracts including:
• Offtake agreements, supply contracts, EPC/EPCM contracts
• Joint Ventures, Shareholders Agreements, SPAs
• Logistics, shipping, charter party, and trading contracts
• Ensure contracts adequately protect company interests and align with commercial objectives.
• Monitor contract performance and ensure compliance with contractual terms and obligations.

• B. Regulatory, Legal & Compliance Oversight

• Ensure compliance with applicable laws and regulations across operating countries, including:
• Mining / Oil & Gas laws and regulations
• Trade, customs, exchange control, and sanctions regimes
• Corporate, tax, and local content requirements
• Coordinate with internal teams and external advisors to ensure timely statutory filings, licenses, permits, and renewals.
• Advise management on legal implications of cross-border operations and transactions.

• C. Risk Management & Governance

• Identify legal and regulatory risks across operations, projects, and trading activities.
• Advise on risk mitigation strategies and support implementation with business teams.
• Develop, implement, and maintain legal policies, compliance frameworks, and standard operating procedures.
• Promote a culture of legal compliance and ethical business conduct across the organization.

• D. Disputes, Litigation & External Counsel Management

• Oversee and manage disputes, claims, arbitrations, and litigation.
• Coordinate and manage external legal counsel, ensuring cost-effective and timely resolution.
• Support negotiation and settlement of disputes where appropriate.

• E. Strategic Legal Advisory

• Act as a trusted legal advisor to senior management and the Board.
• Support M&A, investments, project development, and financing transactions from a legal and compliance perspective.
• Provide practical, business-oriented legal advice in fast-moving, high-risk environments.
